Terms & Conditions

These Terms & Conditions (the “Terms”) constitute a binding legal agreement between you and Glacier Aminos LLC (“Glacier Aminos,” “Glacier,” “we,” “us,” or “our”) governing your access to and use of the website located at glacieraminos.shop, our customer accounts, our customer-support channels, and any other Glacier-operated service that references these Terms (collectively, the “Services”), along with your purchase of any product (the “Material”) from us. Please read these Terms carefully before using the Services.

1. Contracting Entity & Acceptance of Terms

By creating an account, placing an order, or otherwise using the Services, you (a) acknowledge that you have read and understood these Terms; (b) agree to be bound by these Terms and any policies incorporated by reference, including our Privacy Policy and Research-Use Disclaimer; and (c) represent that you have the legal capacity to enter into this agreement. If you do not agree to these Terms, do not use the Services.

We may revise these Terms from time to time as described in Section 20. Your continued use of the Services after the effective date of any revision constitutes your acceptance of the revised Terms.

2. Research Use Only & Regulatory Disclaimers

• Research Use Only. All Material is supplied solely for in-vitro laboratory research, analytical, or compound-characterization purposes by qualified professionals. Material is not for human or animal consumption, clinical use, diagnostic use, therapeutic use, or any application involving administration to a living organism.
• FDA Status. Statements on our site have not been evaluated by the U.S. Food and Drug Administration. Material is not intended to diagnose, treat, cure, or prevent any disease. No claim of clinical or therapeutic effect is made.
• Not a Pharmacy. Glacier Aminos is not a compounding pharmacy or outsourcing facility as defined under Sections 503A or 503B of the Federal Food, Drug, and Cosmetic Act.
• Not a Medical Device or Drug Manufacturer. Material is not manufactured under cGMP for human or veterinary pharmaceutical use, is not labeled as a drug or medical device, and is not sold or marketed for any such use.

3. Eligibility, Age, & Account

• Age Requirement. You must be at least twenty-one (21) years of age to purchase or use the Services.
• Qualified Researcher. You represent and warrant that you are a qualified researcher, scientist, or laboratory professional, and that you have the training, facilities, personal protective equipment, and standard operating procedures necessary to safely and lawfully handle research chemicals.
• Accurate Information. You agree to provide accurate, current, and complete information when creating an account and placing orders, and to update that information promptly when it changes.
• Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at info@glacieraminos.shop if you suspect unauthorized access to your account.
• One Account per Customer. You may not create multiple accounts to evade purchase limits, exhaust promotional credits, or circumvent any decision we have made regarding your prior accounts.

4. Orders, Acceptance, & Availability

• Offer & Acceptance. Your order constitutes an offer to buy. No order is binding on us until we accept it. We may accept, reject, limit, hold, or cancel any order at our sole discretion — including but not limited to reasons of product availability, suspected fraud, compliance risk, pricing or description errors, or violation of these Terms.
• Order Confirmation. An order confirmation email acknowledges that we have received your order; it is not an acceptance of the order. Acceptance occurs when we ship the Material.
• No Resale Without Consent. Material is supplied for your internal research use only. You may not resell, repackage, relabel, decant, re-distribute, export, or transfer Material to any third party without our prior written approval. Violation of this provision is a material breach of these Terms.
• Backorders & Substitutions. If an item is out of stock, we will notify you. We may, at our discretion, delay shipment, partially fulfill the order, propose a substitute, or cancel the unfulfilled portion. We will not substitute Material without notifying you.
• Order Limits. We may set quantity, value, or frequency limits on any order or customer to maintain availability or to manage compliance risk.

5. Pricing, Taxes, & Promotions

• Prices. Prices are listed in U.S. dollars (USD) and may change at any time without notice. The price applicable to your order is the price displayed at the time we accept your order.
• Taxes & Fees. You are responsible for any applicable sales, use, value-added, excise, or similar taxes; any carrier surcharges including fuel, residential, address-correction, or oversized-package fees; and any customs duties or import taxes for international shipments.
• Promotions. Coupon codes, sales, loyalty rewards, and promotions are subject to their own terms, are time-limited, may not be combined with other offers unless explicitly stated, and may be modified, suspended, or discontinued at any time. Promotional value is non-transferable and has no cash equivalent.
• Errors. We reserve the right to correct any typographical, pricing, or system error and to cancel or refund any order placed at an erroneous price, even after acceptance.

6. Payment & Fraud Prevention

• Payment Due at Checkout. Payment in full is due at the time the order is placed. You authorize us and our payment processors to charge your selected payment method for the full order amount and any applicable taxes, fees, or carrier surcharges.
• Authorized Payment Methods. We accept the payment methods displayed at checkout. We may add or remove accepted methods at any time. Payment methods are processed by third-party providers subject to their own terms.
• Chargebacks. Initiating a chargeback without first contacting us at info@glacieraminos.shop to resolve the underlying issue may result in account suspension or permanent closure, denial of future orders, and submission of the account for collection. We may share order records, communications, delivery confirmations, and any other relevant evidence with the payment processor to contest improper chargebacks.
• Verification. We may request additional information to verify your identity, eligibility, address, or compliance status before fulfilling any order, and may decline or cancel orders that fail verification.
• Currency & Conversion. All transactions are charged in USD. If your card is denominated in another currency, your bank may apply conversion or foreign-transaction fees over which we have no control.

7. Shipping, Title, & Risk of Loss

• Shipping Cutoff. Orders received and verified by 2 PM Mountain Time on business days typically ship the same day, though this is not guaranteed. Orders received after 2 PM MT, on weekends, or on observed holidays will ship the next business day or later, at our discretion.
• Title & Risk of Loss.Title and risk of loss pass to you (the buyer) at the moment the shipment is handed to the carrier (F.O.B. Origin). Once the package is in the carrier's possession, Glacier Aminos has fulfilled its delivery obligation, and we are not responsible under any circumstances for carrier-related issues including loss, theft, damage, misdelivery, address-correction holds, or delay.
• Shipping Protection. At checkout, you may add our optional Shipping Protection — a merchant-managed protection program (not insurance) covering packages that are lost, stolen, or damaged in transit. If purchased, claims may be opened by emailing info@glacieraminos.shop with your order number and a clear description of the issue.
  All claims are subject to review and fraud-risk assessment, and Glacier Aminos reserves the right to approve, deny, or limit any claim at our sole discretion. For claims involving packages marked as delivered but not received, or any other claim where we deem it appropriate, we may request supporting evidence including signed statements from household members, security-camera or doorbell-camera footage, photos of the delivery location, a police report, or any other documentation we determine necessary. Failure to provide requested evidence within a reasonable timeframe may result in denial of the claim. We reserve the right to fulfill any approved claim by replacement product, refund, or store credit, in the form and amount we determine appropriate. If Shipping Protection was declined at checkout, you assume all risk for your shipment and acknowledge that Glacier Aminos cannot replace, refund, or credit orders affected by carrier issues.
• Inspection. Inspect all shipments immediately upon delivery. Any visible damage or shortage must be reported to info@glacieraminos.shop within forty-eight (48) hours of delivery, with photos, your order number, and a clear description. Claims reported after this window may be denied.
• Locations. We ship only to locations where receipt of our Material is legally permissible. We may decline any order destined for a location we determine non-compliant, restricted, or high-risk.
• Delivery Estimates. Delivery dates and ranges are estimates provided for convenience only. We are not responsible for delays caused by carriers, weather events, customs, supply-chain interruptions, public-health events, or any other circumstance outside our reasonable control.
• Address Accuracy. You are responsible for the accuracy of the shipping address on your order. Address-correction fees imposed by the carrier are your responsibility. Orders returned to us as undeliverable are subject to a restocking fee and may be refunded according to Section 8.

8. Returns, Refunds, Replacements, & Credits

• All Sales Final. Due to the nature of our products and to maintain chain-of-custody integrity for research applications, all sales are final. Returns are not accepted.
• Damaged or Incorrect Items. If you receive a defective or incorrect item, it must be reported to info@glacieraminos.shop within forty-eight (48) hours of delivery with clear photos, your order number, and a description of the issue. Any replacement, refund, or credit is issued solely at our discretion and is provided net of any non-refundable payment-processing fees.
• Form & Source of Refund. When a refund is approved, Glacier Aminos reserves the sole right to determine the form, amount, and method of refund. Approved refunds may be issued as store credit (Glacier credit) rather than returned to the original payment method, at our discretion. Other options we may use include partial refund, replacement product, future-order credit, or a combination of the above. We are not obligated to refund to the original payment source under any circumstance, and you waive any expectation of an original-source refund as a condition of these Terms. Store credit has no cash value, is non-transferable, may not be combined with other promotional credit, and expires twelve (12) months after issuance unless otherwise specified.
• Shipping Protection Required for Transit Issues. Transit-related damage, loss, or theft is only eligible for review if Shipping Protection was purchased at checkout. To open a claim, email info@glacieraminos.shop with your order number. All claims are subject to approval at our sole discretion, including fraud risk assessment, and we may request any supporting documentation we determine necessary (including but not limited to police reports, security-camera footage, photos, signed statements from household members, or any other evidence). Without Shipping Protection, Glacier Aminos cannot issue replacements, refunds, or credits for any carrier-related issue, regardless of cause.
• Chargeback & Dispute Resolution. Before initiating a payment-method dispute, contact us at info@glacieraminos.shop so we can investigate and resolve the issue directly. Chargebacks filed before contacting customer support, or filed in bad faith, may result in account closure and submission for collection.

9. Product Information, COAs, & Handling

• Specifications. Product descriptions, images, purity tolerances, and any other published specifications are provided for general reference and may vary based on supplier improvements, lot characteristics, or testing methodology.
• Per-Batch Testing. Each batch of Material is independently tested before it is offered for sale. The signed Certificate of Analysis (COA) for each batch is published in our COA library and linked directly from the QR code on every vial label, so the test data is verifiable end-to-end.
• COAs and Safety Documents.COAs, MSDS, and stability documents are provided when available and are supplied “as is.” You remain responsible for verifying suitability for your specific research application and for handling the Material in accordance with applicable safety standards.
• Storage & Stability.You are responsible for proper storage, handling, any required stability or potency testing, and compliance with your facility's laboratory standards.
• Compound Variability. Some compounds, by their chemical nature, cannot achieve the same purity benchmarks as others. Glacier represents that each lot meets or exceeds the published purity specification for that specific compound.

10. Safety, Compliance, & Prohibited Uses

• Safety Program. You represent and warrant that you have adequate safety programs, PPE, ventilation, training, and supervision in place for the Material you handle.
• No Human or Animal Use. Under no circumstances may Material be administered to humans or animals, or be used in food, drug, cosmetic, supplement, medical-device, or any consumer-facing product. You agree to indemnify and hold harmless Glacier Aminos from all consequences arising from any such misuse.
• Compliance with Law. You are solely responsible for compliance with all applicable federal, state, and local laws and regulations governing the purchase, possession, handling, storage, and disposal of research chemicals in your jurisdiction.
• Prohibited Conduct. You may not misuse Material; violate any law or third-party right; attempt to interfere with, hack, scrape, or overload the Services; impersonate any person; or use the Services for any unlawful, harmful, or deceptive purpose.

11. Export Controls & Geographic Restrictions

• Export. Material may be subject to U.S. export control laws and regulations, including the Export Administration Regulations administered by the Department of Commerce. You agree not to export, re-export, or transfer Material in violation of any applicable law.
• Sanctions. You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to a comprehensive U.S. embargo, and that you are not listed on any U.S. Government list of restricted or prohibited parties.
• Right to Refuse. We may refuse any order destined for any jurisdiction that we determine, in our sole discretion, to present compliance, regulatory, or safety risk.

12. Intellectual Property & Limited License

• Site IP.All website content, including text, graphics, photographs, illustrations, COA documents, product descriptions, source code, trademarks, service marks, trade dress, logos, and the “Glacier Aminos” name, are owned by or licensed to Glacier Aminos and are protected by U.S. and international copyright, trademark, and other intellectual-property laws.
• Limited License. Subject to your continued compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services solely for purchasing and managing your research orders. All rights not expressly granted are reserved.
• No Other Use. You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, or scrape any portion of the Services or its content for any commercial purpose without our prior written consent.
• Feedback. Any suggestions, ideas, enhancement requests, or other feedback you provide regarding the Services may be used by us for any purpose without restriction, attribution, or compensation.

13. Third-Party Tools & Links

The Services may include links to or integrations with third-party platforms — for example payment processors, shipping carriers, analytics providers, and email-delivery vendors. We are not responsible for the availability, content, terms, security, or privacy practices of any third-party site or service. Your interactions with any such third party are governed by that party's own terms and policies, which you should review before use.

14. Electronic Communications & Notices

You consent to receive communications from us electronically — including by email, SMS (where you have provided a phone number), and in-account messaging. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing. You may opt out of marketing communications at any time using the unsubscribe link in any marketing email, by replying STOP to any marketing SMS, or by contacting info@glacieraminos.shop. Transactional and account-security communications cannot be opted out of while your account remains active.

15. Warranty Disclaimers

Material and the Services are provided “AS IS” and “AS AVAILABLE” for research use only. To the fullest extent permitted by law, Glacier Aminos disclaims all warranties, express, implied, or statutory, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted availability. No advice or information obtained from us, whether oral or written, creates any warranty not expressly stated in these Terms.

You are solely responsible for determining whether Material is suitable for your intended research and for the consequences of any use you make of it.

16. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will Glacier Aminos, its members, officers, employees, agents, contractors, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, enhanced, or punitive damages; for lost profits, lost revenue, lost data, lost goodwill, lost research results, or cost of substitute goods or services; or for any business interruption, arising out of or related to the Services, the Material, or these Terms — regardless of the theory of liability (whether contract, tort, strict liability, or otherwise), and even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or related to any claim will not exceed the amount you paid to us for the Material giving rise to the claim during the three (3) months immediately preceding the event giving rise to liability.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, the foregoing limitations apply only to the fullest extent permitted by law.

17. Indemnification

You agree to defend, indemnify, and hold harmless Glacier Aminos and its members, officers, employees, agents, contractors, and affiliates from and against any and all claims, demands, actions, losses, liabilities, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to: (a) your use or misuse of Material or the Services; (b) your violation of these Terms, any policy referenced herein, or any applicable law; (c) your negligence, willful misconduct, or breach of any representation or warranty you have made to us; or (d) any infringement by you of a third party's intellectual property, privacy, publicity, or other right.

18. Force Majeure

Glacier Aminos will not be liable for any delay or failure to perform arising from causes beyond its reasonable control, including without limitation acts of God; fires, floods, earthquakes, or other natural disasters; pandemic or public-health emergency; war, terrorism, riot, or civil unrest; labor disputes, strikes, or lockouts; shortages of raw materials, components, or transportation; failures of communication networks or utility services; supply-chain disruption; actions of governmental or regulatory authorities; or carrier failures, delays, or service interruptions.

19. Governing Law, Venue, & Jurisdiction

These Terms and any dispute arising out of or related to them or the Services are governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

You and Glacier Aminos consent to the exclusive personal jurisdiction and venue of the state and federal courts located in Larimer County, Colorado, for any action or proceeding arising out of or relating to these Terms or the Services, and you waive any objection to such jurisdiction or venue based on forum non conveniens or otherwise.

20. Changes to These Terms

We may update these Terms from time to time. Updates are effective when posted to the website with a new effective date. Material changes — for example, changes to our refund policy, our governing-law provision, or your indemnification obligations — will be communicated by a prominent notice on the storefront or by email to active account holders. Your continued use of the Services after the effective date of any revision constitutes your acceptance of the revised Terms.

21. Miscellaneous

• Assignment. You may not assign, transfer, or delegate your rights or obligations under these Terms, in whole or in part, without our prior written consent. Any attempted assignment in violation of this section is void. We may assign these Terms in whole or in part at any time without notice.
• Entire Agreement. These Terms, together with our Privacy Policy, Research-Use Disclaimer, and any other policies referenced herein, constitute the entire agreement between you and Glacier Aminos relating to the subject matter and supersede all prior or contemporaneous communications, agreements, understandings, and representations, whether oral or written.
• Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.
• No Waiver. No failure or delay by Glacier Aminos to exercise any right, power, or remedy under these Terms operates as a waiver of that right, power, or remedy. Any waiver must be in writing and signed by an authorized representative of Glacier Aminos to be effective.
• Headings. Section headings are for convenience only and have no substantive effect on the construction of these Terms.
• Survival. Sections 2, 7, 8, 10, 12, 15, 16, 17, 19, and any other provision that by its nature should survive termination, will survive termination of these Terms.
